1. Definitions

In these General Terms and Conditions, the following terms are defined as follows:

  • Bollify: Bollify B.V., operating under the trade name Adyard.

  • Adyard: The trade name under which Bollify B.V. offers its services and software.

  • Client: Any natural or legal person who uses Adyard's services and/or software.

  • Agreement: Any agreement between Bollify and the Client, including these General Terms and Conditions.

  • Services: All services provided by Adyard, including but not limited to advertising management, strategic advice, data analysis, consultancy, and support.

  • Adyard Software: All software, tools, automations, scripts, dashboards, and platform functionalities developed by Adyard.

  • Platform: The Adyard Software and its accompanying infrastructure.

  • Bol: The online marketplace Bol, including its advertisement and retailer interfaces and APIs.

  • Advertisement Revenue: Revenue demonstrably generated through advertisements as reported by Bol.

2. Applicability

  1. These General Terms and Conditions apply to all offers, quotations, agreements, and legal relationships between Bollify and the Client.

  2. Deviations are only valid if agreed upon in writing.

  3. The Client's general terms and conditions are expressly rejected.

3. Conclusion of the Agreement

  1. The Agreement is concluded when the Client registers online with Adyard and explicitly agrees to these General Terms and Conditions.

  2. Digital acceptance (checkbox, click or similar action) serves as a legally binding signature.

4. Nature of the Service

  1. All Services and Adyard Software are provided based on a best efforts obligation.

  2. Bollify provides no guarantees regarding turnover, profit, ACOS, ROAS, ranking, or other performance indicators.

  3. Results are partly dependent on external factors such as market conditions, competition, Bol's algorithms, pricing, inventory, reviews, and product quality.

5. Access to Data, Accounts, and API Connections

  1. The Client explicitly authorizes Bollify to:

    • gain access to advertisement and retailer accounts at Bol;

    • create connections with Bol's advertisement and retailer APIs;

    • collect, process, and analyze advertisement, revenue, product, inventory, and performance data.

  2. This access and these connections are necessary for the execution of the Agreement.

  3. Bollify is not liable for errors, limitations, delays, or changes caused by Bol or its systems.

  4. The Client remains the owner of their data but grants Bollify a right of use for the duration of the Agreement.

6. Advertisement Management & Adyard Software

  1. Insofar as the Client uses Adyard Software, the Client explicitly authorizes Bollify to manage and optimize advertising campaigns through this software.

  2. This authorization includes, among other things:

    • the automatic and/or manual adjustment of bids, budgets, targeting, and campaigns;

    • the application of rules, automations, and optimization strategies;

    • the implementation of changes without prior approval for each individual action.

  3. Decisions executed via Adyard Software are deemed to be made on behalf of the Client.

  4. The Client refrains from making their own changes to campaigns that are under Adyard's management or automation, unless agreed upon otherwise in writing.

  5. Advertisement expenses are always fully at the client's expense and risk.

7. Compensation & Pricing Structure

  1. The compensation consists of:

    • a fixed amount and/or;

    • a variable compensation based on a percentage of Advertisement Revenue, as agreed upon.

  2. The Client explicitly accepts:

    • Adyard's definition of Advertisement Revenue;

    • the reports and data sources from Bol as leading;

    • that discussions about attribution or origin of revenue are excluded.

  3. Advertising costs directly invoiced by Bol are not included in Adyard's compensation.

8. Invoicing & Payment

  1. Invoicing takes place monthly.

  2. The payment term is 14 days after the invoice date.

  3. In case of late payment, Bollify is entitled to:

    • temporarily suspend its Services and Adyard Software;

    • terminate access to connections and automations;

    • charge statutory interest and collection costs.

9. Duration & Termination

  1. The Agreement is concluded for an indefinite period unless agreed otherwise.

  2. Termination is subject to a notice period of one calendar month.

  3. Bollify may immediately terminate the Agreement in case of non-payment, abuse, fraud, or violation of these terms.

10. Liability

  1. Bollify's total liability is limited to the amount invoiced in the three months prior to the damage.

  2. Bollify is not liable for:

    • indirect or consequential damage;

    • lost profits or revenue;

    • damage caused by decisions or systems of Bol;

    • errors in data, reports, or third-party automations.

11. Intellectual Property

  1. All intellectual property rights to Adyard Software, strategies, documentation, and methodologies rest with Bollify.

  2. The Client is granted only a non-exclusive and non-transferable right of use for the duration of the Agreement.

12. Confidentiality

  1. The parties commit to confidentiality of all confidential information.

  2. This obligation remains in effect after the termination of the Agreement.

13. Privacy & GDPR

  1. Bollify processes personal data in accordance with the General Data Protection Regulation (GDPR).

  2. The Client guarantees to be entitled to share personal data and information.

  3. If applicable, a processing agreement is concluded.

14. Force Majeure

Bollify is not obligated to fulfill if there is a situation of force majeure, including but not limited to disruptions at Bol, API failures, internet outages or government measures.

15. Applicable Law & Disputes

  1. These General Terms and Conditions are governed by Dutch law.

  2. Disputes will be submitted exclusively to the competent court in the Netherlands.

By registering and using the Services and/or Adyard Software, the Client declares to have read and agree to these General Terms and Conditions.
